1. Acceptance of Terms
Welcome to OpenAlpha (“the Platform”). These Terms of Service (“Terms”) constitute a legally binding agreement between you and OpenAlpha. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not use the Platform.
2. Account Requirements
- You must be at least 18 years old and legally capable of entering into binding agreements
- You agree to provide truthful, accurate, and complete registration information
- You are responsible for maintaining the confidentiality of your account credentials
- Your use of the Platform must be permitted by the laws of your jurisdiction
- If you reside in a region where the Platform is not offered, you are not authorized to use the service
3. Acceptable Use
When using the Platform, you agree not to:
- Violate any applicable law or regulation
- Use the service for unlawful, fraudulent, or misleading purposes
- Scrape, crawl, or mass-extract data from the Platform through automated means
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Interfere with or disrupt the normal operation of the Platform
- Resell, distribute, or sublicense any output of the service to third parties
- Impersonate any person or misrepresent your affiliation with any person or entity
4. Subscriptions and Payment
OpenAlpha may offer free and paid subscription tiers. If you choose a paid subscription:
- Subscription fees are billed in advance on the selected billing cycle
- Subscriptions auto-renew until cancelled by you
- You may cancel your subscription at any time in your account settings
- Fees are non-refundable except as required by law or explicitly stated otherwise
- We reserve the right to change subscription prices with prior notice
5. Intellectual Property
All content on the Platform, including but not limited to software code, model implementations, documentation, design, trademarks, logos, and brand elements, is the property of OpenAlpha or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted only a personal, non-exclusive, non-transferable license to use the Platform as permitted under these Terms. Model outputs may be used for your personal research and reference, but may not be reproduced or redistributed at scale without authorization.
6. Service Availability and Changes
We strive to maintain stable operation of the Platform but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any feature at any time, with reasonable prior notice where feasible. Scheduled maintenance, data-source outages, or third-party service failures may cause temporary unavailability.
7. Account Termination
We reserve the right to suspend or terminate your account in the following cases: breach of these Terms, suspected fraudulent or illegal activity, prolonged inactivity, or where termination is reasonably necessary in our judgment. Upon termination, your right to use the Platform ends immediately.
8. Disclaimer and Limitation of Liability
The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. Please refer to our Disclaimer for a full statement regarding the nature of signals, backtest results, and market risk. To the maximum extent permitted by law, OpenAlpha shall not be liable for any indirect, incidental, special, or consequential damages.
9. Dispute Resolution
Any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed by good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The language of arbitration shall be English.
10. Governing Law
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.
11. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated through in-Platform notifications or email. Your continued use of the Platform after such updates constitutes acceptance of the revised Terms.
